Terms and Conditions

These Terms of Use outline the terms and conditions governing the services provided by Igor Galicki, Galicki Digtial, a freelance web developer based in Dublin, Ireland (hereinafter referred to as “the Developer”).

Services

The Developer agrees to provide his expertise like web design services outlined in the project proposal or contract. Services may include website design, development, maintenance, and other related tasks as mutually agreed upon. 

Obligations (developer)

The Client agrees to:

  • provide accurate and complete information required for the project.

  • pay the Developer according to the agreed-upon payment terms and on-time.

  • cooperate with the Developer throughout the project.

  • respect the Developer work, time, skills, design and recommendations.

Obligations (client)

The Developer agrees to:

  • complete the project within the agreed-upon timeframe as outlined in the project specifications and contract.

  • agrees to index the website's pages in Google, including submitting sitemaps and utilising best practices for local search engine optimisation to maximise search engine visibility and online presence.

  • utilise only legal and ethical tools, techniques, and media throughout the development process.

Intellectual property

All intellectual property rights, including copyrights, trademarks, and patents, related to the website developed by the Developer shall remain the property of the Developer unless otherwise agreed upon in writing. 

The client shall have a non-exclusive license to use the website for their business purposes.

The website business idea belongs to the client, while the project belongs to the developer until the final payment is made. Upon full payment, ownership of the project is transferred to the client promptly and securely, providing all login details.

Payment

Payment terms will be outlined in the agreement. Late payments may result in additional fees or suspension of services, website blockage, or complete website removal. 

Limitation of liability

The Developer is not be liable for any indirect, incidental, or consequential damages arising from the use of the website or the Developer’s services. 

Termination

Either party may terminate the agreement for cause with written notice. The developer may terminate the project if there is no contact with the client for more than 14 days. Additionally, the developer holds the right to terminate the project if the client is disrespectful, uses the website in an illegal way, or is unresponsive to communication attempts through any channels, including email or telephone.

The client has the full right to terminate this agreement at any point before officially signing it. However, upon signing the agreement, the client is bound by its terms and conditions.

Should the client choose to terminate the agreement after signing, it will result in:

  • Additional Fees: The client will be responsible for any applicable termination fees as outlined in the agreement. This may include costs incurred for work already completed, resources allocated to the project, and administrative expenses.

  • Project Fee Coverage: The client will be obligated to cover the project fees as specified in the agreement up to the point of termination. This ensures that the developer is fairly compensated for the services rendered and resources committed to the project.

It's important to carefully review the agreement before signing to fully understand the terms and implications of termination.

Governing law and disputes

This agreement shall be governed by and construed in accordance with the laws of Ireland. 

Any disputes arising from this agreement shall be resolved through negotiation or mediation. If resolution cannot be reached, the parties agree to submit to the jurisdiction of the Irish courts.

For more specific information regarding the terms and conditions of your project, please refer to the individual project proposal or contract. By engaging the Developer’s services, the client acknowledges and agrees to these Terms of Use.
